Market Rules

THIS IS A BINDING AGREEMENT. By clicking AGREE and thereby completing registration for an account with Civic Win, Inc. ("Civic Win") participants agree that registered participants have read and understand these Project Rules ("Rules") and that participants will comply with all of these Rules when using our Website and Services ("Website" or "Site"). If participants do not agree to these Rules, participants are not permitted to use our Website or Services.

These Rules are in addition to and not in lieu of our Terms of Use (available here: www.civicwin.com/info/terms).

In the event of a conflict between these Rules and our Terms of Use, the Terms of Use will control. We reserve the right to update these Rules from time to time. Participants agree that continued use of our Website or Services constitutes acceptance of the then-current Rules.

1. Types of Users:

Individuals engaged in viewing the Civic Win Website are public visitors. Visitors may represent themselves, a corporation, an institution, a non-profit, a public-sector agency, or any number of additional entities. These entities will hereafter be referred to as a "visitor(s)."

Visitors who have taken the extra step of registering on the Website are registered participants. Registered participants may represent themselves, a corporation, an institution, a non-profit, a public-sector agency, or any number of additional entities. These entities will hereafter be referred to as a "registered participant(s)" or "participant(s)."

An administrative user may be a member of the Civic Win staff, and/or may be a third-party vendor, authorized to answer questions and manage the functions, features, and daily operations of the Civic Win platform. These entities will hereafter be referred to as an "administrative user" or "administrator."

The above types of users, when referenced in concert or plurality, will hereafter be referred to as "User(s)".

2. Civic Win Overview:

Civic Win operates a platform for presenting proposals.

The Website features proposed projects. Projects are supported by sponsors proposing donations.

Projects may propose funding for a conservation or community effort in exchange for tax or regulatory or other change. Projects may contain a variety of descriptions and data, and may reference potential stakeholders such as public sector agencies, corporate sponsors, donation recipients, and more. Each project may hereafter be referred to as "project(s)."

A project sponsor may be a corporation, an institution, a non-profit, a public-sector agency, an individual or any number of additional entities. For purposes of clarity, any sponsor will hereafter be referred to as "sponsor(s)."

Sponsors may propose donations in support of a project. Donations may be directed to a conservation or community effort outlined by the project and/or additional public agencies, non-profit organizations, private entities, and/or other entities. For purposes of clarity, any proposed recipient of donations on the Website will hereafter be referred to as "donation recipient(s)."

Donation recipients that are not a public agency or non-profit, will hereafter be referred to as "beneficiaries."

A sponsor's collection of donations in suport of a single project is called a "pledge."

At Civic Win: Each project is a proposal only. Each pledge is a proposal only. Each donation is a proposal only.

At Civic Win: A project is not an agreement, contract, committment, or guarantee. A pledge is not an agreement, contract, commitment, or guarantee. A donation is not an agreement, contract, commitment or guarantee.

Participation in Civic Win projects is voluntary and non-binding for all users, at all times.

A Civic Win project has no value. Value may be achieved only when the proposal represented by a project is implemented, in part or in whole, through an agreement or voluntary action of public sector authorities and/or stakeholders, private sector authorities, sponsors, donation recipients or individuals OUTSIDE the confines and/or control of Civic Win. If value is achieved, Civic Win has no control over how that value might be recognized, implemented, or distributed among parties to an agreement that occurs outside the confines and/or control of Civic Win.

In layman terms, Civic Win is a platform for presenting proposals; we leave it to others to consummate those proposals.

Note: Neither our Website nor any of our Services may be used to execute securities transactions. No exchange of money or currency occurs via Civic Win.

To participate at Civic Win is to participate in an act of free speech and assembly.

Civic Win supports the right of individuals to engage in free speech and assembly in concert with the use of the Website. Civic Win itself, however, may not endorse, support, condone, or agree with every act of free speech, free assembly, project, pledge, communication, and/or donation recipient perspective that may be found on the Civic Win Website or in conjunction with proposals found on Civic Win.

3. How Our Projects Function:


At Civic Win, our mission is to encourage government agencies to be efficient in their delivery of community services. When we are successful, savings can be directed to conservation projects.

Here is how it works:

  1. A group of companies, in the private sector, propose to pay for a conservation project.

  2. In exchange for this conservation project, public sector authorities are asked to modernize a specific tax or regulation.

  3. To promote the project, private sector sponsors may offer donations to charities, non-profits, and more--if the project goes forward.

Success occurs when the tax or regulation is updated, and the conservation project is funded.

Below is a sample project:

BEND POLLINATOR GARDEN

Home builders in Bend, Oregon are governed by permitting practices first drafted decades ago. These practices could be updated in such a way as to improve environmental and safety outcomes, reduce compliance costs for builders, and lower housing costs.

Imagine modernizing a single rule could save builders a combined $1 million over ten years. These firms might band together and propose donating $100,000 for the construction of a one-acre, urban pollinator garden . . . in exchange for the City of Bend modernizing the rule.

The builders' proposal would be made public, here, on the Civic Win website.

If permitting is updated, everyone wins: Builders get improved permitting. The city gets $100,000. Wildlife gets a new home.

CORPORATE SPONSORS

Here are four examples of how a single builder might structure support for the pollinator garden:

Pledge example 1:
Offer the project: $4,000

In this example, the builder is offering to donate $4,000 towards the pollinator garden--if the regulation is modernized.

Pledge example 2:
Offer the project: $4,000
Offer charity: $500

In this example, the builder is offering to donate an additional $500 to a local non-profit. Donating to a non-profit represents an opportunity to win publicity for the project--and also regulatory reform.

Donation example 3:
Offer the project: $4,000
Offer charity: $500
Offer beneficiaries: $500

In this example, the builder is offering to donate an additional $500 to customers (or employees, vendors, etc.) of the builder. These colleagues are called beneficiaries.

Beneficiaries share a donation ($500 in this example) from the builder. This donation may arrive as a bonus, coupon, discount, free miles, etc. Offering to donate to beneficiaries is another way to win publicity for the project and regulatory reform.

Donation example 4:
Offer the project: $4,000
Offer charity: $500
Offer beneficiaries: $500
Offer the pool: $500

In this example, the builder is offering to donate an additional $500 to the pool. Money offered to the pool is paid to all sponsors of the project, to boost their donations. Money offered to the pool magnifies the promotional efforts of all sponsors.

Ultimately, sponsors may choose to structure their donations in any manner they choose. The simple approach is to offer to fund the project alone.

If a sponsor wants to win greater publicity, that sponsor may choose to add charity, beneficiary, and/or pool donations.

The ability to employ, track, and safekeep these funding innovations, for numerous participants, represents a unique aspect of Civic Win. Our approach is designed to rally support for conservation efforts and, by extension, regulatory reform.

REGISTRATION

Corporate sponsors may register for free by clicking Register above and following the instructions.

Individuals interested in becoming a sponsor may also register for free by clicking Register above and following the instructions.

FEES

Civic Win asks sponsors for a voluntary, monthly subscription fee of $10 or more per pledge. There are no additional fees.

This means sponsors can support conservation efforts and promote regulatory reform at Civic Win with little upfront cost.

DONATIONS

Sponsors may publicly or privately define the parameters of their proposed pledge(s) and corresponding donation(s).

It is important to note that completion of projects and any disbursement of donations occurs outside the confines and/or control of Civic Win. For this reason, Civic Win cannot guarantee if any donations, for any project, for any amount, in any form, will ever be paid to donation recipients.

If a donation is paid outside the confines and/or control of Civic Win, payment of that donation may--or may not--occur at a time, place, and manner proposed by the project. In addition, Civic Win has no control over how that donation value might be recognized, implemented, or distributed among parties to an agreement. For greater detail, please review these Project Rules in their entirety.

CIVIC WIN 10/90 RULE

Government agencies that receive donations for a given project are expected to abide by the Civic Win 10/90 rule--10 percent of funds go to the public sector for administration. The remaining 90 percent of funds are contracted by the public sector to the private sector for completion of the project.

PARTICIPATION

Civic Win may create, pause, and close projects. Sponsors may support, pause, or cancel their support for projects. Donation recipients may accept or refuse donations. In this manner, the site serves as a platform for appraising the merit and popularity of proposals. Civic Win operates not as a lobbyist, but as a platform for presenting proposals. For this reason, Civic Win staff are instructed to not discuss legislative matters with members of government.

It is the policy of Civic Win that in connection with any and all participation and/or any and all participants at Civic Win, there shall be no discrimination on the basis of race, color, ancestry, national origin, religious creed, physical disability, medical condition, marital status, sexual orientation, gender, age, or any other protected characteristic.

Participants at Civic Win agree to comply with all applicable federal, state, and local anti-discrimination laws, including but not limited to the Civil Rights Act of 1964, the Americans with Disabilities Act, and the Age Discrimination in Employment Act.

If Civic Win is informed that a Civic Win sponsor has engaged in discrimination as described above and related to that sponsor's use of the Civic Win Website or services, Civic Win then reserves the right to take action that may include warning the sponsor, pausing Website pledges of the sponsor, closing Website pledges of the sponsor, pausing the Civic Win account of the sponsor, closing the Civic Win account of the sponsor, and/or permanently banning of the sponsor from our Website. These actions may be taken without compensating the sponsor in any manner whatsoever.

If Civic Win is informed that a registered participant at Civic Win has engaged in discrimination as described above and related to that participant's use of the Civic Win Website or services, Civic Win then reserves the right to take action that may include warning the participant, pausing the Civic Win account of the participant, closing the participant's Civic Win account, and/or permanently banning of the participant from our Website. These actions may be taken without compensating the participant in any manner whatsoever.

ADDITIONAL INFO

Again, every project, plege, and donation found on Civic Win is a proposal--and is not an agreement, contract, commitment, or guarantee.

All donations proposed on our site, if they are paid, are paid voluntarily outside the confines and/or control of Civic Win. No donation monies exchange hands at Civic Win.

Working with proposals--as opposed to contracts--at Civic Win offers sponsors an opportunity to be creative when structuring their contributions. Sponsors may do so without fear of being boxed in by unforeseen future developments or chained to a project that falls out of favor. In short, a sponsor can propose support for a project. If the project proceeds as hoped, then the sponsor may then donate to the project and/or chosen charities, beneficiaries, and/or pool.

The natural consequence of this approach is that every donation is accompanied by uncertainty. At Civic Win, we feel sponsors have a desire to follow through on proposed donations. That said, the future cannot be ordained and contributing factors to a project may evolve to the upside or downside. This may lead to donations being reduced, delayed, or even abandoned.

4. Specific Features of a Project:

Each project on the Website is launched by Civic Win.

PROJECT STATUS

Projects consist of the following status:

  • OPEN
  • PAUSED
  • CLOSED

OPEN projects may be actively supported by sponsors.

PAUSED projects have been paused by Civic Win. A pause may allow participants to digest recent news, project refinements, or other variables.

CLOSED projects are closed. Projects may close at a time determined by Civic Win. The closing of a project may or may not result in the abandonment of supporting pledges by sponsors and all associated claims. Historical data for closed projects may remain available for a period of time determined by Civic Win.

PROJECT THEMES

Civic Win may sort projects by a general theme, such as but not limited to: environment, government, and new project.

COMMUNICATION

Civic Win reserves the right to engage in no communication whatsoever as it relates to a project.

Alternatively, Civic Win may choose to communicate a project launch, revision, status change, sponsor, public sector update, and more.

Civic Win may choose (or choose not) to communicate with past or present public sector authorities and/or stakeholders, private sector authorities, sponsors, donation recipients or anyone else suitable or interested in communication for any given project as determined by Civic Win in its sole discretion.

PROJECT TABS

Each project displays several navigation tabs.

Civic Win reserves the right to provide no information on project tabs.

Alternatively, Civic Win may display information as outlined below.

Summary:

The summary tab may provide an overview of the project including proposed conservation or community effort and proposed public sector action (tax or regulatory or other).

Details:

The details tab may list specific features of a project such as status, theme, location, pledge totals, and more.

Sponsors:

The Sponsors tab may list sponsors for the project.

News:

The News tab may display official announcements for the project such as project launch, project revisions, project status changes, sponsors, public sector updates, and more.

Participants at Civic Win--such as public sector authorities and/or stakeholders, private sector authorities, sponsors, donation recipients, the media, and/or others--are encouraged to make any news related to a project available to Civic Win.

There is, however, no requirement or expectation of public sector authorities and/or stakeholders, private sector authorities, sponsors, donation recipients, the media, and/or others to make news available to Civic Win. The News tab for each project exists entirely as a non-binding,incomplete Website feature and one to be used entirely on a voluntary basis by Civic Win, Website users, and any outside interested parties.

There is no guarantee that any news, of any kind, and for any project, will ever be posted to the News tab.

If news is made available to Civic Win regarding any subject related to Civic Win, there is no guarantee that Civic Win has the time, staff, or resources to successfully vet and/or organize such information for posting on the News tab in a timely manner, or ever.

If news (generated by Civic Win itself and/or reported and/or generated by others and provided to Civic Win) is posted to the News tab, Civic Win does not guarantee that such news is timely, accurate, and/or not degraded by erroneous information, erroneous data, new developments, changing conditions, and/or misleading statements before, during, or after posting. News posted to the News tab may be entirely inaccurate.

Users at Civic Win agree that any news posted to the News tab may be accurate, inaccurate, and/or possibly subject to revisions at later dates and to consider any news posted to the News tab with skepticism and doubt.

5. Specific Features of a Pledge:

Each project on the Website may be supported by sponsors offering their pledge of that project.

PLEDGE STATUS

Pledges consist of the following status:

  • OPEN
  • PAUSED
  • CLOSED

An OPEN pledge may be actively supported by its sponsor.

A PAUSED pledge may have been paused by Civic Win or its sponsor. A pause may allow participants to digest recent news, pledge refinements, or other variables.

A CLOSED pledge may have been closed by Civic Win or its sponsor. A pledge may close at a day and time determined by Civic Win or its sponsor.

The closing of a pledge may result in proposed donations being paid in some manner by the sponsor.

Alternatively, the closing of a pledge may result in the abandonment of donations proposed by the sponsor.

Historical data for closed pledges may remain available for a period of time determined by Civic Win.

COMMUNICATION

Civic Win reserves the right to engage in no communication whatsoever as it relates to a pledge.

Alternatively, Civic Win may choose to communicate a pledge launch, revision, status change, and more.

Civic Win may choose (or choose not) to communicate with past or present public sector authorities and/or stakeholders, private sector authorities, sponsors, donation recipients or anyone else suitable or interested in communication for any given pledge as determined by Civic Win in its sole discretion.

PLEDGE TABS

Each pledge may display two navigation tabs.

Civic Win may display information as outlined below. Alternatively, Civic Win reserves the right to provide no information on pledge tabs.

Summary:

The summary tab may provide an overview of the sponsor and parameters specific to donations being made by the sponsor.

Details:

The details tab may list specific features of plege including donations being made to the project conservation or community effort, non-profits, beneficiaries, and/or pool.

PROJECT VARIABLES & EVOLUTION

Civic Win projects are designed to begin as rudimentary proposals that evolve over time, through revision and refinement, into more sophisticated outcomes. Projects are designed to change, evolve, and unfold from start to finish. Each project is a dynamic proposal and is subject to change at any time. This change may apply to the project, the pledges, the donation recipients, or more.

Below is a list of potential variables for projects. Please note that projects (like any proposal) are subject to a near infinite number of potential variables which precludes listing them all here.

Each variable below illuminates possible actions that may be taken by Website sponsors and/or participants while still complying with Civic Win participation rules (see above).

1) Project Revisions:

Civic Win may revise the stated conservation or community effort associated with a project, the requested public sector tax or regulatory or other task associated with the project, and/or any other aspect, feature, or detail of a project at any time.

The project revisions described above may occur because of changing economic conditions, changing political conditions, changing public sector conditions, changing private sector conditions, public or participant input, or for any reason whatsoever.

A project revision may improve a project's chance of success, diminish a project's chance of success, or eliminate a project's chance of success.

A project revision may result in donation recipients experiencing an increase in expected donation amounts, decrease in expected donation amounts, or elimination of donation amounts entirely.

Project revisions may be implemented without any announcement or notification to visitors or registered participants by Civic Win. Civic Win makes no guarantees, representations, or warranty and assumes no liability for project revisions.

2) Pledge Revisions

Sponsors may revise the proposed donations for their pledge at any time and do so without the sponsor or Civic Win announcing their revisions. Such changes may relate to donation amount, type of donation (cash, check, free miles, donation card, crypto coin or token, promissory note, asset, service, or any other type of donation), timing of donations, terms of donations, distribution of donations, and more. The donation amount may be revised up, revised down, or eliminated altogether.

Sponsors may expand the scope of expected donation recipients or restrict the scope of expected donation recipients; and may do so by any grouping, threshold, or means of organizing expected donation recipients that the sponsor(s) so chooses.

The pledge revisions described above may occur because of changing economic conditions, changing political conditions, changing public sector conditions, changing private sector conditions, public or participant input, or for any reason whatsoever.

A pledge revision may improve a project's chance of success, diminish a project's chance of success, or eliminate a project's chance of success.

A pledge revision may result in donation recipients experiencing an increase in expected donation amounts, decrease in expected donation amounts, or elimination of donation amounts entirely.

Pledge revisions may be implemented without any announcement or notification to visitors or registered participants by sponsors or Civic Win. Civic Win makes no guarantees, representations, or warranty and assumes no liability for donation revisions.

3) Rough Guess Decisions:

Enacting project revisions or pledge revisions (as described above) may result in an improvement or degradation of the overall prospects for a project.

Alternatively, failure to enact project revisions or donation revisions may also result in an improvement or degradation of the overall prospects for a project.

It is difficult to objectively quantify and/or predict with any degree of certainty the outcome of enacting revisions to a project or pledge and/or choosing not to enact revisions to a project or pledge.

For example, it is impossible to predict the future as it relates to the economy, politics, war, the environment, geography, weather, or other variables and/or how these variables might impact a project or pledge in the future.

The only way to reconcile the complexity and uncertainty as it relates to enacting (or not enacting) project or pledge revisions is for public sector authorities and/or stakeholders, private sector authorities, sponsors, or Civic Win itself to make decisions for projects or pledges, either individually or collaboratively or collectively, based upon a rough guess.

Rough guess decisions may improve a project's chance of success, diminish a project's chance of success, or eliminate a project's chance of success.

Best guess decisions may result in donation recipients experiencing an increase in expected donation amounts, decrease in expected donation amounts, or elimination of donation amounts entirely.

Roug guess decisions at Civic Win may be implemented without any announcement or notification to visitors or registered participants by sponsors or Civic Win. Civic Win makes no guarantees, representations, or warranty and assumes no liability for rough guess decisions at Civic Win.

Participants agree that project success and donation amounts are subject to enormous uncertainty and variability because of project revisions, pledge revisions, rough guess decisions, and/or other foreseen or unforeseen variables as well as an unknown future; and that each project, pledge, and DONATIONS is subject to change at any time.

Participants agree to participate with the understanding and acceptance that any increase or decrease or elimination of expected project success and/or donation amounts as a result of project revisions, pledge revisions, or rough guess decisions, and/or other variable may not result in compensation of any kind being made to public sector authorities and/or stakeholders, private sector authorities, sponsors, donation recipients or anyone else.

A Website project, pledge, and/or donation is an uncertain proposal. A Website project, pledge, and/or donation is not an agreement, contract, commitment, or guarantee. Like any proposal, a Website project, pledge, and/or Donations is subject to change at any time and for any reason whatsoever.

Civic Win makes no guarantees, representations, or warranties and assumes no liability for project revisions, pledge revisions, rough guess decisions, and/or other foreseen or unforeseen variables as well as an unknown future and/or the consequence of such activities on the prospects for a Website project, pledge, or donation.

PROJECT CONCLUSION

If a project is successful, by any parameter, Civic Win may close the project or related pledges.

If a project is unsuccessful, by any parameter, Civic Win may close the project or related pledges.

Alternatively, a project or related pledges may remain open or paused indefinitely by Civic Win.

Civic Win makes no guarantees, representations, or warranties and assumes no liability for the success, failure, closure, pause, or indefinite open status of a Website project, pledge, or Donation.

IMPLEMENTED PROJECTS

An implemented project is one in which public sector authorities (such as regulatory authority, legislative body, or voter initiatives), and/or private sector authorities and/or sponsors decide to implement, in part or in whole, the conservation or community effort proposed by that project.

Note: Any such implementation takes place outside the confines and/or control of Civic Win.

PROJECT UNCERTAINTIES

Civic Win provides a platform for exercising free speech. Civic Win does not vet, judge, or endorse the free speech represented by its projects. Throughout history, free speech has been used to promote the inaccurate, misleading, unrighteous, absurd, and successfully gain adherents while doing so. The same may be true of Civic Win projects.

Civic Win makes no guarantees, representations, or warranty and assumes no liability as to whether a project is or will be constructive, legal, moral, accurate in statement or statistic, or acceptable when measured by any parameter as it relates to the design, construct, processes, participants, outcomes, or any other attribute or function of that project.

Every participant and/or user that engages, uses, accesses, or participates in any way with Civic Win acknowledges and agrees that Civic Win is a platform for presenting proposals. Any agreements related to a project are contingent upon authorization of public sector authorities and/or stakeholders, private sector authorities, sponsors, donation recipients, and/or others outside the confines and/or control and responsibility of Civic Win and may require changes in existing rules, laws, or regulations which also exist outside the confines and/or control and responsibility of Civic Win.

Civic Win makes no guarantees, representations, or warranties and assumes no liability as to whether any projects will be implemented, in part or in whole.

Civic Win makes no guarantees, representations, or warranties and assumes no liability as to whether an implemented project will reflect, in any way, the stated conservation or community effort of the project, stated tax or regulatory or other objectives of the project, proposed donations, terms, participants, or any other variable related to the project that preceded the implemented project.

Should a Civic Win project be implemented, in part or in whole, Civic Win makes no guarantees, representations, or warranties and assumes no liability as to whether the public sector authorities and/or stakeholders, private sector authorities, sponsors, donation recipients, Civic Win and/or any other participant in the project or entity identified within the project will be included, in any way, with the implemented project.

Civic Win makes no guarantees, representations, or warranties and assumes no liability as to whether an implemented project will reflect, in any way, the proposed project that preceded it. A proposed project exists in one time and place; an implemented project exists in another, later time and place. A proposed project and following implemented project may be identical in construct, participants, and such, yet the implemented project may result in different or unexpected outcomes from those described by or expected from the project.

By participating in a project, each participant and/or user acknowledges and understands that each project is a proposal accompanied by vast uncertainties, any of which may lead to project failure. This uncertainty extends to all participants in the project (public sector authorities and/or stakeholders, private sector authorities, sponsors, donation recipients, Civic Win and others), to the construct of the proposal (legal, financial, factual accuracy, and more), and to the challenges of implementing the proposal (political, economic, legal, and more).

CIVIC WIN MAKES NO GUARANTEES, REPRESENTATIONS, OR WARRANTIES AND ASSUMES NO LIABILITY FOR OUTCOMES, FINANCIAL RETURNS, or any other benefit OR DETRIMENT that may or may not result from participation at Civic Win.

OUTSOURCING DISCLAIMER

Our projects may propose outsourcing of public sector assets or services. Outsourcing may not be the best solution for a community. Our projects are designed to challenge the status quo and promote alternatives. Only when stakeholders have decided that there is a reasonable chance of benefit should outsourcing proceed.

Civic Win does not endorse project proposals on our Site, including those projects proposing the outsourcing of public sector assets or services.

Civic Win makes no guarantees, representations, or warranty and assumes no liability for outsourcing proposals at Civic Win.

VOTING DISCLAIMER

Local, state, and federal laws do not specifically address projects and/or their interplay with local voter initiatives. This legal question may or may not be under review. For these reasons, Civic Win projects may propose that proposed donations not be paid if project implementation is enacted via voter initiative.

Note: Enforcement of this determination is the responsibility of the sponsor(s) for the project and would thus be implemented (or not) outside the confines and/or control of Civic Win.

Civic Win makes no guarantees, representations, or warranty and assumes no liability for proposals at Civic Win involving voter initiatives.

PUBLIC OFFICIAL DISCLAIMER

Civic Win projects may, or may not, propose that any donation recipients, represented in part or whole or in any way by and/or involved with public officials and/or their immediate family members, be ineligible to receive donations, and/or disqualified as a donation recipients in a project, to avoid potential conflicts of interest.

This determination may be made while a project is open, paused, or after it has closed.

Note: Enforcement of this determination is the responsibility of the sponsor(s) for the project and would thus be implemented (or not) outside the confines and/or control of Civic Win.

Civic Win makes no guarantees, representations, or warranty and assumes no liability for donations paid to public officials and/or their family members that are in any way related to pledges on Civic Win.

NOTE: Civic Win may or may not be in a position to identify public officials and/or their family members that are in any way related to proposed donations at Civic Win. If news is made available to Civic Win regarding public officials and/or their family being proposed donation recipients or actual donation recipients of donations at Civic Win, there is no guarantee that Civic Win has the time, staff, or resources to successfully vet and/or organize such information for notification of sponsors in a timely manner, or ever.

TAX LIABILITY

Participants do not experience monetary gain, loss, or tax liability when participating at Civic Win. If a participant receives a donation or compensation of any kind or form related to a Civic Win project, that donation or compensation can be consummated only via an agreement outside the confines and/or control of Civic Win.

PROJECT RESTRICTIONS

In the public sector, projects represent a form of free speech. Each project is a proposal, a proposal whose implementation hinges on approval by public sector authorities such as regulatory authorities, legislative bodies, or voters. As such, projects are entirely legal within the public sector.

Projects that will be implemented in partnership with a public sector entity and that do not involve the sale of a security are allowed at Civic Win.

In the private sector, current U.S. securities regulations demand that investment proposals be presented to participants in a regulated format, prior to any investments being made. Participants expect and regulators demand that investment proposals (particularly those involving the sale of securities) be clear in concept, accounting, risk-assessment, and such prior to sale.

Civic Win projects, by design, operate in an opposite manner. Projects may begin with a rudimentary proposal, and then use the assignment of donations combined with input from public sector authorities and/or stakeholders, private sector authorities, sponsors, donation recipients, Civic Win, and others to refine the pledge. Here, participation in projects may be used not simply to arrange funding for a proposal, but to instead design the proposal as well. This unique process (beginning with a rudimentary proposal and working towards a more sophisticated outcome) is a process that may not yet be addressed by U.S. securities regulations.

For these reasons, neither our Website nor any of our Services may be used to execute securities transactions. No exchange of money or currency occurs via Civic Win.

A project has no value. Value may be achieved only when the proposal represented by a project is implemented, in part or in whole, through an agreement or voluntary action of public sector authorities and/or stakeholders, private sector authorities, sponsors, donation recipients, or individuals OUTSIDE the confines and/or control of Civic Win. If value is achieved, Civic Win has no control over how that value might be recognized, implemented, or distributed among parties to an agreement that occurs outside the confines and/or control of Civic Win.

Finally, some projects may be contrary to applicable local, state, or federal laws or regulations (e.g., public sector contracting laws), which means that the project (including corresponding project and/or pledges) cannot be implemented, unless the applicable laws or regulations are amended. Civic Win makes no guarantees, representations, or warranties that any project will be implemented or that any local, state, or federal laws that would prohibit implementation will be amended to allow for implementation.

PROJECT OVERSIGHT

Civic Win reserves the right to deny Website registration to any individual, corporation, institution, or any other entity at any time, for any reason whatsoever.

Civic Win reserves the right to edit a participant's Website account at any time, for any reason whatsoever; and to do so without compensating or communicating with associated participant(s) in any manner whatsoever.

Civic Win reserves the right to pause or to close any Website account (individual, corporate, institutional, or other entity) at any time, for any reason whatsoever; and to do so without compensating or communicating with associated participant(s) in any manner whatsoever.

Civic Win reserves the right to deny opening or pause or close a project (and any or all associated pledges) that may infringe, in the sole discretion of Civic Win, upon the expected success of an existing project or pledge, jeopardize the Civic Win brand or platform, or for any reason whatsoever; and to do so without compensating or communicating with associated participant(s) in any manner whatsoever.

Civic Win reserves the right to deny opening or pause or close a pledge that may infringe, in the sole discretion of Civic Win, upon the expected success of an existing project or pledge, jeopardize the Civic Win brand or platform, or for any reason whatsoever; and to do so without compensating or communicating with associated participant(s) in any manner whatsoever.

Civic Win reserves the right to communicate (or not communicate) any oversight decisions made or oversight actions taken by Civic Win to public sector stakeholders and authorities, private sector authorities, sponsors, donation recipients, site visitors, or to whomever Civic Win in its sole discretion deems suitable for receipt of such communication.

CIVIC WIN MAKES NO GUARANTEES, REPRESENTATIONS, OR WARRANTIES AND ASSUMES NO LIABILITY FOR OUTCOMES, FINANCIAL RETURNS, or any other benefit OR DETRIMENT that may or may not result from denied registration, denial or pause or closure of accounts, denial or pause or close of projects, denial or pause or closure of pledges, and/or communication or lack thereof for any actions taken by Civic Win.
